
Cisalfa Sport S.p.A. has adopted an ordinary governance system characterised by the presence of a management body, the Board of Directors, and a control body - the Board of Statutory Auditors - in addition to a Supervisory Board (consisting of an external member acting as Chair and an internal member).
The accounts are audited by an external auditing company (BDO Italia S.p.A.).
The Board of Directors is the central body of the corporate governance system adopted by Cisalfa Sport S.p.A. and has the broadest powers to manage the company and strategically direct the Group, which it heads.
In addition to its powers pursuant to the law and the Articles of Association, the Board of Directors is responsible for the most important decisions from an economic and strategic point of view, including: approving the company's operating budget and financing plan; appointing and defining the roles and remuneration of the CEO and company executives; analysing the annual financial statements prior to approval by the Shareholders' Meeting.
The Board of Directors is composed of eleven members: one President, one Vice President and nine directors. At the head of the Board of Directors is Chair Stefano Pochetti, flanked by the Vice President Patrizia Caroni.
