
The holding company Cisalfa Sport S.p.A. has adopted a traditional governance system consisting of a management body, the Board of Directors, and an audit body, the Board of Statutory Auditors, as well as a collegial Supervisory Body (composed of three members).
Statutory auditing is carried out by an external audit firm (BDO Italia S.p.A.).
The Board of Directors is the central body of the corporate governance system adopted by Cisalfa Sport S.p.A. and has the broadest powers to manage the company and strategically direct the Group, which it heads.
In addition to its powers pursuant to the law and the Articles of Association, the Board of Directors is responsible for the most important decisions from an economic and strategic point of view, including: approving the company's operating budget and financing plan; appointing and defining the roles and remuneration of the CEO and company executives; analysing the annual financial statements prior to approval by the Shareholders' Meeting.
Through 29 Apr 2024, the Board of Directors is composed of eight members: two CEOs, one president, and five directors. At the head of the Board of Directors is Chair Stefano Pochetti, flanked by the CEOs Patrizia Caroni and Maurizio Mancini.
